"We", "us" and "our" refer to Smart Numbers Ltd, trading as Digital Five, registered in England & Wales, company number 5457989, VAT 887353085. "You" or "your" refers to the person, business or organisation buying our services.
2. Acceptance
By using digitalfive.com or signing one of our order forms, you accept these terms. If you don’t accept them, please don’t use the site or service.
3. Our services
We provide:
- Website design, UX, build and hosting.
- SEO, PPC and paid social management.
- Brand identity and design work.
- UK telephone numbers, VoIP and call routing services.
Specific deliverables, timelines and pricing are agreed in writing for each engagement (statement of work, order form or signed quote).
4. Contracts & minimum terms
Unless explicitly stated otherwise in your signed order form:
- Marketing retainers (SEO, PPC, social) run for an initial term of three (3) months, then continue month-to-month.
- Telecoms services run month-to-month unless you’ve agreed a fixed term in exchange for a discounted rate.
- After any initial term, either party may end the engagement with 30 days’ written notice.
5. Fees & payment
- All prices exclude VAT, which is added at the prevailing UK rate.
- Retainer invoices are issued monthly, in advance.
- Project invoices follow the milestones in the order form (typically 50% on signing, 50% on launch).
- Payment is due within 14 days unless otherwise agreed in writing.
- Late payment may attract interest under the Late Payment of Commercial Debts (Interest) Act 1998.
6. Ad-spend and third-party costs
When we manage PPC or paid social on your behalf, the ad spend is paid directly by you to the platform (Google, Meta, etc.) on your own billing account. Our management fee is billed separately.
7. Ownership of work
- On full payment of project fees, ownership of the final delivered work passes to you.
- We retain rights to any underlying tools, frameworks or pre-existing intellectual property used to deliver the work.
- We may showcase delivered work in our portfolio, anonymised on request.
8. Our responsibilities
- We’ll deliver our services with reasonable care and skill.
- We won’t guarantee specific search engine rankings, ad performance or conversion rates, as they depend on factors outside our control.
- We’ll keep your data secure as set out in our privacy policy.
9. Your responsibilities
- Supplying accurate information, content and approvals on time.
- Paying invoices on time.
- Owning (or having permission to use) any content you give us: text, images, logos, music.
- Following all applicable laws when using our services, including telecoms and advertising regulations.
10. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or anything else that can’t lawfully be excluded. Subject to that:
- Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.
- We won’t be liable for loss of profits, business, goodwill, savings or any indirect or consequential loss.
11. Suspension & termination
We may suspend or terminate services if invoices remain unpaid for more than 30 days after the due date, or if you breach these terms in a serious way. We’ll always try to resolve issues amicably first.
12. Telecoms specifics
- UK number availability is subject to Ofcom allocation and carrier availability.
- Number portability is governed by Ofcom rules and timelines.
- We operate in line with the General Conditions of Entitlement.
- Acceptable Use: no nuisance calls, illegal traffic or activity in breach of UK telecoms law.
13. Force majeure

14. Governing law
These terms are governed by the laws of England & Wales, and any dispute will be resolved in the courts of England & Wales.
